1. Definitions

In these terms and conditions, "Perfect Content" is understood to mean the provider of the service, and "User" or "you" is understood to mean the natural or legal person who purchases or uses the service.

2. Applicability

These terms and conditions apply to all offers, agreements and services provided by Perfect Content. By creating an account, using the service or entering into an agreement, you agree to these terms and conditions.

3. Services

Perfect Content offers a platform to generate draft texts for, among other things, blogs, web pages and social media messages with the help of AI. The generated texts can be checked and sharpened by you or by a professional editor for a fee.

You understand and accept that AI output is suggestive and may contain inaccuracies, biases or incompleteness. You remain responsible for checking, adjusting and the final use of the content.

4. Account and verification

An account is required for access to (parts of) the service. You must provide correct and current data and carefully secure your account data. You are responsible for all activities that take place under your account.

5. Acceptable Use

It is not permitted to use the service for:

  • illegal purposes or activities contrary to applicable laws and regulations;
  • spreading unlawful, offensive, discriminatory, defamatory or otherwise harmful content;
  • infringing intellectual property rights or privacy rights of third parties;
  • disrupting, circumventing or testing the security or availability of the service;
  • generating misleading claims (e.g. medical, legal or financial advice) without expert validation.

6. Content and intellectual property

Unless otherwise agreed in writing, all intellectual property rights to the software and the platform rest with Perfect Content or its licensors.

Subject to full payment of due fees, Perfect Content grants you a non-exclusive, worldwide license to use the output generated by the service for your own business or personal purposes.

7. User material

You guarantee that you have all rights and permissions for material you provide (prompts, data, references) and that this material is not unlawful. You grant Perfect Content a limited license to process this material for the delivery and improvement of the service, in accordance with our privacy statement.

8. Quality and limitations of AI

AI can generate incorrect, outdated or incomplete information. Perfect Content does not guarantee the correctness, completeness or suitability of the output for a specific purpose. You must always assess the output and, if necessary, have it edited before publishing or distributing.

9. Professional review

Thanks to our professional editing and fact-checking, you are always guaranteed the best quality.

10. Fees, invoicing and payments

Rates, bundles and subscription forms are stated within the application or quotation. Amounts are exclusive of VAT, unless otherwise indicated. Payments are made via the payment methods offered by us. In case of late payment, access may be (temporarily) blocked and collection costs may be charged.

11. Subscriptions, cancellation and refund

Subscriptions are automatically renewed per period, unless otherwise stated. You can cancel according to the procedure indicated in the application before the end of the current period. Amounts already paid will not be refunded, unless legally required or expressly agreed otherwise.

12. Fair use and limits

To ensure quality and availability, Perfect Content may apply reasonable usage limits (e.g. number of generations, tokens, storage). Abuse or excessive use may lead to restricted access or extra costs.

13. Availability and maintenance

Perfect Content strives for high availability, but does not guarantee uninterrupted operation. We may (temporarily) interrupt the service for maintenance, updates or emergencies. We are not liable for damage caused by interruptions or failures.

14. Support

We offer reasonable support via the channels mentioned in the application. Response times are obligations of effort and not obligations of result, unless otherwise agreed.

15. Liability

To the extent permitted by law, the total liability of Perfect Content is limited to the amount you paid for the service in the three (3) months prior to the event. Perfect Content is not liable for indirect damage, consequential damage, lost profit, missed savings, reputational damage or loss of data.

16. Indemnification

You indemnify Perfect Content against third-party claims arising from or related to your use of the service, your material, or violation of these terms and conditions or applicable laws and regulations.

17. Privacy and data processing

We process personal data in accordance with our privacy statement and applicable legislation (including the GDPR, if applicable). A processor agreement may be offered or required for certain services.

18. Security and confidentiality

Perfect Content takes appropriate technical and organizational measures to secure the service. However, no measure can guarantee absolute security. Parties treat each other's confidential information strictly confidentially.

19. Duration and termination

You can terminate the use at any time by closing your account. Perfect Content may suspend or terminate the agreement (in part) if you violate these terms and conditions, if legally required or if there is abuse or fraud.

20. Changes to the service and terms and conditions

We may change the service and/or these terms and conditions from time to time. Material changes will be announced in advance where reasonable. Continued use after changes take effect means acceptance thereof.

21. Applicable law and disputes

Dutch law applies to these terms and conditions, unless mandatory law prescribes otherwise. Disputes will be submitted to the competent court in the district where Perfect Content is located, unless mandatory law determines otherwise.

22. Force majeure

Neither party is obliged to comply with any obligation if it is prevented from doing so as a result of force majeure, which includes failures at suppliers, power or internet outages, pandemics, cyber attacks or government measures.
